Terms of Service

1. Agreement to Terms

By requesting services from ClickNabbers, submitting a form, making a payment, or engaging with any deliverable produced by ClickNabbers, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services. These terms apply to all clients across both service lines operated under the ClickNabbers brand.

2. Services Offered

ClickNabbers operates two service lines:

VOC Analysis for Ecommerce Brands. ClickNabbers mines customer review data, testimonials, and voice-of-customer sources to identify emotional language patterns and purchase drivers. Deliverables include analysis documents, hooklines, email personalization bullets, creative briefs, and related materials packaged under the ClickDecoder product line.

Local Business Automation. ClickNabbers builds and manages automation systems for local service businesses including but not limited to missed call text back, review request automation, lead follow-up sequences, appointment booking systems, AI chat widgets, reactivation campaigns, two-way SMS inboxes, and supporting landing pages built inside GoHighLevel (GHL).

3. Payment Terms

All fees are stated in US dollars. Payment is due at the time of engagement unless otherwise agreed in writing. Monthly retainer fees are billed in advance on a recurring basis. Setup fees, where applicable, are due prior to commencement of any buildout work.

Failure to remit payment within 7 days of the due date may result in suspension of services. ClickNabbers reserves the right to pause or terminate active automations, remove access to delivered assets, or withhold future deliverables until outstanding balances are resolved.

4. Minimum Engagement Period

The following ClickNabbers service tiers require a minimum 3-month engagement commitment:

• ClickDecoder Monthly
• ClickDecoder + Content
• ClickDecoder CR

By engaging with any of these tiers, you agree to pay for a minimum of three consecutive months of service regardless of whether you choose to actively use the deliverables or automations provided. Early termination during the minimum engagement period does not relieve the client of payment obligations for the remaining term.

5. Refund Policy

Setup fees are non-refundable under all circumstances. Setup fees compensate ClickNabbers for buildout time, platform configuration, and initial labor. They are earned upon commencement of work regardless of whether the engagement continues.

Once deliverables have been received by the client, no refund will be issued. Deliverables include but are not limited to analysis documents, hooklines, creative briefs, completed automation buildouts, landing pages, and any other work product transmitted to the client in any format.

For monthly retainer services where no deliverable has yet been received in a given billing cycle, refund requests will be considered on a case by case basis at the sole discretion of ClickNabbers. No refunds are guaranteed outside of circumstances where ClickNabbers has failed to deliver any work product within an agreed timeframe.

6. Intellectual Property and Ownership

Upon receipt of full payment for a given deliverable or service period, the client owns all work product produced by ClickNabbers on their behalf. This includes analysis documents, hooklines, creative briefs, landing pages, automation configurations, and any other materials delivered as part of the engagement.

ClickNabbers retains the right to reference the existence of the engagement for portfolio and case study purposes, without disclosing confidential client data, unless the client requests otherwise in writing. ClickNabbers does not claim ownership of any client review data, brand assets, or source materials provided by the client during the engagement.

7. Client Responsibilities

Clients are responsible for providing accurate information, timely access to required platforms and data sources, and reasonable cooperation during the engagement. ClickNabbers is not responsible for delays caused by a client's failure to provide necessary access, approvals, or materials.

For local business automation clients, it is the client's responsibility to maintain active subscriptions to any third-party platforms required to operate the delivered systems, including but not limited to GoHighLevel. ClickNabbers is not responsible for service interruptions caused by third-party platform outages, policy changes, or account suspensions outside of ClickNabbers' control.

8. Limitation of Liability

ClickNabbers makes no guarantees of specific results, revenue outcomes, lead volumes, conversion rates, or business growth. All deliverables and automation systems are provided in good faith based on available data and industry best practices.

To the maximum extent permitted by applicable law, ClickNabbers' total liability to any client for any claim arising out of or related to these terms or the services provided shall not exceed the total fees paid by the client to ClickNabbers in the 30 days preceding the claim.

9. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or strategic materials shared during the engagement. ClickNabbers will not sell, share, or disclose client data to third parties except as required to deliver the agreed services or as required by law.

10. Termination

Either party may terminate a monthly engagement with 30 days written notice, provided the minimum engagement period has been satisfied. ClickNabbers reserves the right to terminate any engagement immediately and without refund in cases of abusive conduct, fraudulent activity, or material breach of these terms by the client.

Upon termination, the client retains ownership of all paid-for deliverables. Access to any ClickNabbers-managed platforms or automations will be transferred or decommissioned within 14 days of the termination date.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Tennessee.

12. Changes to These Terms

ClickNabbers reserves the right to update these Terms of Service at any time. Changes will be posted to this page with an updated effective date. Continued use of ClickNabbers services after changes are posted constitutes acceptance of the revised terms.
